Freight Labs B.V. ("us", "we", or "our") operates the https://www.freightspark.io website (hereinafter referred to as the "Service").

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

The FreightSpark service is provided by Freight Labs B.V.. These Terms and Conditions govern your use of our service. As used in these Terms and Conditions, "FreightSpark service", "our service" or "the service" means the software-as-a-service provided by FreightSpark, including all features, functionalities, our website, and user interfaces, as well as all content and software associated with our service.

Billing and Invoicing

Certain Freight Labs B.V. services are provided on a recurring basis ("Subscription Services"). These services are billed in advance according to the terms specified in your agreement with Freight Labs B.V.. Invoices are typically issued on a monthly or annual basis, depending on the billing frequency agreed upon during the sales process.

Each billing period will automatically renew under the same terms unless you notify Freight Labs B.V. of your intent to cancel, or unless Freight Labs B.V. notifies you of any changes. To cancel your Subscription Services, please contact your account representative or reach out to Freight Labs B.V. Support directly.

All payments are made via invoicing and are subject to the payment terms outlined in your service agreement or invoice. You are responsible for ensuring that Freight Labs B.V. has up-to-date and accurate billing details, including company name, billing contact, and relevant invoicing information.

Failure to make payment by the due date specified on the invoice may result in suspension or termination of your access to the Subscription Services, in accordance with Freight Labs B.V.'s payment policies.

Free Trial

FreightSpark may, at its sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial").

The scope and duration of any Free Trial will be specified in writing by Freight Labs B.V. and may vary depending on your organization's needs. Unless otherwise agreed, no billing information is required to access a Free Trial.

At the conclusion of the Free Trial period, continued access to the Subscription Services will require entering into a paid service agreement. If no agreement is reached, access to the trial services will be deactivated.

Freight Labs B.V. reserves the right to modify or cancel Free Trial offers at any time without prior notice.

Promotional Offers

From time to time, FreightSpark may offer special promotional offers or free trials ("Offers"). Eligibility for these Offers is determined at our sole discretion, and we reserve the right to revoke an Offer and put your account on hold if we determine that you are not eligible. Specific terms and conditions for each Offer will be provided during sign-up or through other communications.

Changes to Pricing and Subscription Plans

We may change our subscription plans and the price of our service from time to time. Any changes to pricing will be communicated to you with at least 30 days' notice before the changes take effect. If you do not wish to accept the new price or changes to your subscription plan, you have the right to cancel your subscription before the changes are applied.

To continue using the FreightSpark service after a price change, your continued use will constitute your acceptance of the new price and/or subscription plan. If you choose to cancel your subscription, you may continue to use the service until the end of your current billing period.

Account Accuracy

You are responsible for maintaining the security and confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs through your account as a result of your failure to keep this information secure and confidential.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this provision.

You represent and warrant that the information you provide to us during the registration process is truthful and accurate, and that you will maintain the accuracy of such information.

Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Freight Labs B.V. and its licensors. The Service is protected by copyright, trademark, and other laws of both Europe and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Freight Labs B.V..

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property infringement ("Infringement") of any person.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms and Conditions or engage in illegal or fraudulent use of the service. Upon termination, your right to use the service will cease immediately.

If you wish to terminate your account, you may do so through the account settings section of our website or by contacting our customer support team.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Prohibited Uses

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate FreightSpark, a FreightSpark employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

Additionally, you agree not to:

• Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.
• Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
• Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent.
• Use any device, software, or routine that interferes with the proper working of the Service.
• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
• Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Service.

FreightSpark has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that FreightSpark shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Freight Labs B.V., its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Limitation of Liability

In no event shall Freight Labs B.V., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
